LICENSE AGREEMENT FOR CUBRID NOTICE TO USER: CAREFULLY READ THE FOLLOWING LEGAL AGREEMENT. BY INSTALLING THIS SOFTWARE YOU ACCEPT ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT. This License Agreement is a legal agreement between you and the CUBRID Co., Ltd. (ˇ°CUBRIDˇ±) for the SOFTWARE, which includes any associated SOFTWARE components, any media, any printed materials, and any electronic documentations provided by CUBRID ("SOFTWARE"). By installing, copying, or otherwise using the SOFTWARE, you agree to be bound by the terms of this license agreement. If you do not agree to the terms of this license agreement, do not install or use the SOFTWARE. LICENSE GRANT 1. CUBRID grants you a limited, non-exclusive, non-transferable and royalty-free license to use the executable codes of the SOFTWARE on your computer as long as the terms of this agreement are respected. "Use" means storing, loading, installing, executing or displaying the SOFTWARE. 2. You agree that you must consult and acquire appropriate license(s) from CUBRID in order to use the SOFTWARE for other purposes that are not pertained in this license. 3. You may use the SOFTWARE for the purpose of personal, commercial, and manufactural use. You may further develop, distribute, and merchandise applications which are operated by the SOFTWARE. 4. You may use the SOFTWARE for the purpose of education to third parties. PROPRIETARY RIGHTS and RESTRICTIONS 1. You acknowledge that full ownership rights and intellectual property rights to the SOFTWARE will remain the exclusive property of CUBRID. 2. You are licensed to use the SOFTWARE only in approved administrative environment by CUBRID. 3. You may not remove, disable or modify any proprietary notices or labels on the SOFTWARE. 4. You agree that you will not attempt to reverse compile, modify, adapt, copy, emulate, clone, disassemble the SOFTWARE in whole or in part, or otherwise attempt to discover the source codes of the SOFTWARE. 5. You may not publish bench marketing results of the SOFTWARE without prior consent from CUBRID. 6. You may not use the corporate name, the registered trademark or the corporate logo of CUBRID without obtaining prior permission from CUBRID. 7. You acknowledge that only domestic users in the Republic of Korea are granted royalty-free license whereas overseas users must follow royalty payment schedules which are set by CUBRID. DISCLAIMER OF WARRANTY and NO LIABILITY FOR CONSEQUENTIAL DAMAGES 1. THIS SOFTWARE AND THE ACCOMPANYING FILES ARE PROVIDED ON AN "AS IS" BASIS. 2. CUBRID DISCLAIMS ALL RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE AND ALL WARRANTIES RELATING TO THIS SOFTWARE, WHETHER EXPRESSED OR IMPLIED, INCLUDING MERCHANTABILITY, FREE OF DEFECTS, SUITABILITY FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS. 3. CUBRID SHALL NOT BE LIABLE FOR ANY DAMAGE (INCLUDING DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, DATA LOSS, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF THE SOFTWARE, EVEN IF CUBRID HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR CLAIMS. 4. CUBRID SHALL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, OR INCIDENTAL DAMAGE (INCLUDING DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, DATA LOSS, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OR INABILITY TO USE SUCH APPLICATIONS AND PROTOTYPE PRODUCTS WHICH ARE DEVELOPED BASED ON THIS SOFTWARE, EVEN IF CUBRID HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR CLAIMS. CONTRACT FOR TECHNICAL SUPPORTS According to this license, CUBRID provides limited technical supports to permitted users. For formal technical supports, necessary service contract must be negotiated with CUBRID. TERMINATION 1. You may terminate this agreement and the license by destroying all copies of the SOFTWARE and accompanying documentations. 2. CUBRID reserves the right to terminate this agreement and license if you fail to comply with the limitations described herein. Upon termination, you must destroy all copies of the SOFTWARE and accompanying documentations.
